Couple years ago i looked into buying a 3 truck parking lot sweeping/power washing business locally {2 sweepers/1 power washing}. They had a nice little niche and contracts with malls, strip plazas etc.
The owner was a super nice guy and been in business for 20 years.

One small problem, after hiring an attorney to investigate some more it turned out the reason he was selling was $70k in back payroll taxes/penalties he owed the state. Well, he didnt have $70k so he was forced to sell the business or sell his house/ retirement, whatever. Total mess, the guy was no loser either really nice hard working guy who just was ignorant of the law and consequences.

Not too sure what happened to him but i RAN away fast.
